Plaintiff filed a motion for judgment on the pleadings, asking the Court for an early ruling on the terms of the parties’ lease, in which Plaintiff is the tenant and Defendant is the landlord. Plaintiff-Tenant used the premises as a restaurant until a fire partially destroyed the premises, and Plaintiff-Tenant now seeks to restore the premises for use as a honkytonk instead of a restaurant. The lease contemplated a fire event and set out provisions that are contingent on whether the fire destroyed more or less than 50% of the premises. The parties dispute the percentage of destruction and whether Plaintiff-Tenant may restore the premises to a condition inconsistent with the condition prior to the fire. While there are some ambiguities in the lease, the paragraphs regarding the parties’ recourse after fire damage, regardless of the percent of destruction, state that the premises is to be restored “to the condition existing prior to the occurrence of the fire or other peril.” Therefore, Plaintiff-Tenant’s motion for judgment on the pleadings is denied. The Court made no further interpretations of the lease at this early stage of litigation.

Defendants are denied summary judgment on Plaintiff’s breach of contract claim because there is a genuine issue of material fact regarding whether there was a meeting of the minds. Defendants are granted summary judgment as to Plaintiff’s claim for fraudulent misrepresentation because Plaintiff presented no evidence indicating that Defendants made representations without present intent to perform. Defendants are entitled to summary judgment on Plaintiff’s claim of promissory estoppel because Plaintiff failed to present evidence demonstrating an inference of fraud. As to Plaintiff’s claim of conversion, Defendants are denied summary judgment based on the undisputed evidence that Plaintiff is owed at least a portion of the funds in question.

The overarching issue was whether Plaintiff waived her attorney/client privilege by bringing non-attorney third-parties into her privileged communications with her lawyer. The Court applied the Kovel doctrine, which recognizes that the attorney/client privilege covers communications to an accountant made in confidence for the purpose of obtaining legal advice from the lawyer. Further, a third-party who is considered an “agent of the client” or is so integral as to be considered an “insider” with respect to communications with the client will not destroy the attorney-client privilege. The Court generally found that communications between Plaintiff, her lawyer, and other professional third-parties (accountants, other lawyers, and financial advisors) were privileged and non-discoverable.

W.G. Yates filed a Motion to Compel, seeking an order compelling 7th Avenue Nashville to respond to Yates’s Third Set of Requests for Production that Yates propounded after learning that 7th Avenue sold its interest in two hotels. Yates argued that this sale is relevant to its unjust enrichment and quantum meruit claims. The Court denied Yates’s Motion to Compel because the value of the property is not relevant to the value of the services that Yates alleges it provided to 7th Avenue and for which 7th Avenue has not paid. Further, 7th Avenue asserted that it has not sold its interests; instead, the holder of a controlling share of interest in 7th Avenue sold its interests to a third party.

Plaintiff Hendrickson and Defendant Williams are 50/50 members of Nashville Physical Therapy & Performance (NPT). Defendant/Counter-Plaintiff Williams moved for a temporary injunction after being unilaterally terminated as a member of NPT by Hendrickson. The Court found that Williams was likely to prevail on her counterclaim, that the public interest is served by recognizing the rights and obligations of LLC members under their operating agreement and state law, and that William’s interest in her requested relief outweighs Hendrickson’s interest in controlling NPT without Williams. Williams’s request for an injunction was granted, restoring her membership status, access to NPT’s accounts and facilities, and monthly salary.

Rule 13.07 states that a crossclaim is appropriate when the claim arises out of the same transaction or occurrence that is the subject matter either of the original action or of a counterclaim therein, and the Court applied the “logical relationship” test to determine whether the crossclaims arose out of the same transaction or occurrence. The Court denied the motion to dismiss, finding that the crossclaims were sufficiently related based on the similar factual issues and evidence that would support or refute the claims.

Proctor & Graves Service Company, LLC v. Oddie Graves
Defendant was a former employee and manager, and is currently a member, of the Plaintiff entity. Plaintiff sought to enforce the non-compete aspects of the employee agreement against Defendant. Pursuant to a previously entered TRO, Defendant had already been enjoined from soliciting Plaintiff’s customers and otherwise interfering with Plaintiff’s operations. Included in the employment agreement, but not enforced by the TRO, was a restriction that would prevent Defendant from operating a competing enterprise within a 100-mile radius of Davidson County for two years after Defendant’s termination. Based on Defendant’s access to and knowledge of Plaintiff’s high-level company information and Defendant’s history of running and being the face of the company, the Court granted Plaintiff’s motion for temporary injunction, converting the terms of the TRO into a temporary injunction and adding that Defendant may not engage in a similar business within a 25-mile radius of Davidson County within two years of Defendant’s termination.

Under this construction contract for two hotels, Plaintiff withheld five percent retainage from the amounts owed to Defendant. The hotels opened in the summer of 2022, and Plaintiff subsequently fired Defendant in September 2022 without paying Defendant the retainage. On Defendant’s motion for partial summary judgment, the issue before the Court was whether, under the Tennessee Prompt Pay Act, Plaintiff may unilaterally decide to hold the retainage against damages that were not yet proven or awarded. Based on the express provisions set forth in Tenn. Code Ann. § 66-34-204 and the occurrence of one of the triggering events listed in the statute, Plaintiff was obligated to release the retainage to Defendant.

Petitioner Graby filed a motion for judgment on the pleadings, seeking a judgment on Respondent Newell’s counterclaim for breach of fiduciary duty. Graby asserted that Newell made an illegal distribution of corporate funds and failed to properly join the corporation in the counterclaim. As to the illegal distribution of corporate funds, the motion was denied because Newell raised an issue of material fact regarding the corporation’s debt, so the Court could not find that there was no plausible set of facts to support Newell’s position. Graby also argued that Newell failed to properly join the corporation because Newell listed “Floored, Inc.” instead of “Floored Inc” – which is the proper name of the company. This claim fails because the corporation was on notice despite the unneeded punctuation included in the counterclaim.
